These Terms of Services (“Terms”) govern your access to and use of our websites, products, platforms, applications, APIs, and related services (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Introduction & Acceptance of Terms
These Terms form a legally binding agreement between you (“you,” “your,” or “User”) and AlphaReaction (“AlphaReaction,” “we,” “us,” or “our”). They apply to visitors, customers, account holders, authorized users, partners, and anyone who accesses or uses the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
Additional product-specific terms, order forms, statements of work, or acceptable use policies may apply to particular Services. In the event of a conflict, the more specific agreement will control for that Service, unless expressly stated otherwise.

3. Use of Our Software & Services
Subject to these Terms, AlphaReaction grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for your lawful internal business or personal purposes, as applicable.
You agree to:
- Use the Services only in accordance with these Terms and applicable law
- Provide accurate information when requested
- Maintain the confidentiality of credentials associated with your access
- Ensure that your users and systems interacting with the Services comply with these Terms
Except as expressly permitted, you may not sell, resell, rent, lease, sublicense, copy, modify, reverse engineer, decompile, or create derivative works from the Services, or attempt to gain unauthorized access to any part of our systems.
4. AI-Powered Features and Services
Certain Services include artificial intelligence, machine learning, automation, analytics, or generative capabilities (“AI Features”). AI Features are designed to support productivity, decision-making, and digital transformation; they do not replace your independent judgment.
4.1 Nature of AI outputs
AI-generated or AI-assisted outputs may be incomplete, inaccurate, outdated, or otherwise unsuitable for your specific use case. You are solely responsible for reviewing, validating, and approving any AI outputs before relying on them for business, operational, legal, financial, medical, safety-critical, or other consequential decisions.
4.2 Human oversight
Where applicable, you should maintain appropriate human review, testing, and quality controls. AlphaReaction does not guarantee that AI Features will produce any particular result, recommendation, prediction, or outcome.
4.3 Inputs and sensitive data
You are responsible for the content, prompts, files, and data you submit to AI Features (“Inputs”). Do not submit confidential, personal, regulated, or sensitive information unless you have a lawful basis to do so and the relevant Service is configured for that purpose under a separate agreement or documentation.
4.4 Continuous improvement
We may improve AI Features over time. Model behavior, interfaces, and capabilities may change as we enhance performance, security, and reliability.
5. User Accounts and Responsibilities
Some Services require an account. You agree to:
- Provide accurate registration and account information and keep it updated
- Protect your passwords, API keys, tokens, and other access credentials
- Promptly notify us of any unauthorized access or suspected security incident related to your account
- Be responsible for activities that occur under your account, unless caused solely by our failure to maintain reasonable security safeguards
We may refuse registration, limit access, or require additional verification where reasonably necessary to protect the Services, our users, or comply with law.
6. Software Licenses and Intellectual Property
AlphaReaction and its licensors retain all right, title, and interest in and to the Services, including software, source code, object code, designs, interfaces, documentation, trademarks, logos, trade secrets, AI models (excluding your Inputs and Customer Data as defined below), and all related intellectual property.
Except for the limited rights expressly granted in these Terms, no license or ownership interest is transferred to you. “AlphaReaction,” related marks, and product names are trademarks or brand identifiers of AlphaReaction or its affiliates.
If you provide feedback, suggestions, or ideas about the Services, you grant AlphaReaction a perpetual, worldwide, royalty-free license to use and incorporate that feedback without obligation to you.
7. User-Generated Content and Data
“Customer Data” means data, content, files, configurations, and materials you or your users submit to or process through the Services, including Inputs.
You retain your rights in Customer Data. You grant AlphaReaction a limited license to host, process, transmit, display, and otherwise use Customer Data solely as needed to provide, secure, maintain, and support the Services, and as otherwise permitted by your agreements with us or applicable law.
You represent that you have all rights and permissions necessary to provide Customer Data and that Customer Data does not infringe third-party rights or violate law.
Unless a separate written agreement states otherwise, we do not claim ownership of your Customer Data.
8. Privacy and Data Protection
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge our privacy practices as described there.
Where we process personal data on your behalf as a service provider or processor, additional data processing terms may apply. You are responsible for providing any notices and obtaining any consents required for your use of the Services with personal data.
9. Third-Party Services and Integrations
The Services may interoperate with third-party products, platforms, models, APIs, cloud providers, payment processors, or other services (“Third-Party Services”). Third-Party Services are governed by their own terms and privacy policies.
AlphaReaction does not control and is not responsible for Third-Party Services, including their availability, security, accuracy, or practices. Your enablement of integrations constitutes authorization for us to exchange relevant data with those Third-Party Services as needed to provide the integration.
10. Service Availability and Updates
We strive to provide reliable, scalable, and secure Services. However, we do not guarantee uninterrupted, error-free, or continuous availability. The Services may be temporarily unavailable due to maintenance, updates, infrastructure issues, force majeure events, or circumstances beyond our reasonable control.
We may modify, enhance, suspend, or discontinue features of the Services to improve functionality, security, performance, or compliance. Where a material change significantly reduces core paid functionality, we will use commercially reasonable efforts to provide notice in accordance with Section 17.
11. Acceptable Use
You agree not to misuse the Services. Prohibited activities include, without limitation:
- Violating applicable laws, regulations, or third-party rights
- Attempting unauthorized access, probing, scanning, or compromising security or integrity
- Distributing malware, conducting denial-of-service attacks, or interfering with other users
- Using the Services to generate or disseminate unlawful, harmful, fraudulent, deceptive, or abusive content
- Using AI Features to automate decisions in high-risk contexts without appropriate human oversight where required by law or professional standards
- Scraping, harvesting, or extracting data from the Services except through documented APIs and within applicable limits
- Misrepresenting your identity or affiliation, or using the Services to spam or engage in phishing
- Circumventing usage limits, billing mechanisms, or access controls
We may investigate and take action, including suspension or termination, for suspected violations.
12. Security Responsibilities
AlphaReaction implements administrative, technical, and organizational measures designed to protect the Services. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
You are responsible for:
- Configuring your use of the Services securely
- Managing user access and permissions within your organization
- Protecting endpoints, networks, and credentials under your control
- Backing up Customer Data where appropriate for your business continuity needs
- Promptly applying recommended security settings and updates communicated for your account or deployments
13. Payments and Subscriptions
Where Services are offered on a paid, subscription, usage-based, or project basis:
- Fees, billing cycles, taxes, and renewal terms will be described in the applicable order form, checkout flow, or agreement
- Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing
- You authorize us (and our payment processors) to charge applicable fees using your selected payment method
- Failure to pay may result in suspension or termination of access
- We may change pricing for future periods with reasonable notice, except where a fixed-price agreement states otherwise
If a free trial or evaluation is provided, it is offered “as is,” may be limited in features or duration, and may be modified or ended at our discretion.
14. Limitation of Liability
To the maximum extent permitted by applicable law, AlphaReaction and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to the Services or these Terms, regardless of the theory of liability.
To the maximum extent permitted by law, our aggregate liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to AlphaReaction for the Services giving rise to the claim during the twelve (12) months preceding the event, or (b) one hundred U.S. dollars (USD $100) if you have not paid any fees.
Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.
15. Disclaimers
THE SERVICES, INCLUDING AI FEATURES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAREACTION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Services will meet your specific requirements or achieve intended business results
- AI outputs will be accurate, complete, reliable, or free from bias or error
- The Services will be uninterrupted, secure, or free of harmful components
- Defects will be corrected immediately or at all
You assume all risk arising from your use of the Services and reliance on any outputs.
16. Termination or Suspension
You may stop using the Services at any time. Where an account or subscription exists, termination procedures in the applicable agreement or account settings will apply.
We may suspend or terminate access to the Services, in whole or in part, if:
- You materially breach these Terms and fail to cure within a reasonable period after notice (or immediately where the breach creates risk of harm, legal exposure, or security compromise)
- Required by law or legal process
- Necessary to protect the Services, our infrastructure, or other users
- Your account remains inactive for an extended period, where permitted
Upon termination, your right to use the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
17. Changes to the Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will take reasonable steps to notify you, such as posting an updated version on our website and revising the “Last updated” date.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the changes, except where applicable law requires additional consent.
18. Governing Law
These Terms are governed by the laws applicable in the jurisdiction where AlphaReaction principally operates, without regard to conflict-of-law principles, except where mandatory consumer or local laws provide otherwise.
Subject to any mandatory dispute resolution rights you may have under applicable law, courts located in that jurisdiction will have exclusive jurisdiction over disputes arising from these Terms or the Services, unless a separate written agreement provides for arbitration or another forum.

20. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. These Terms, together with the Privacy Policy and any applicable order forms or product-specific terms, constitute the entire agreement between you and AlphaReaction regarding the Services and supersede prior or contemporaneous understandings on that subject.
